Terms of Service

1. Service Description

Placemynt Inc. ("Placemynt", "we", "us", or "our") provides a cloud-based applicant tracking and recruiting management platform (the "Service") accessible via placemynt.com and app.placemynt.com. These Terms of Service ("Terms") govern your access to and use of the Service.

By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have the authority to bind that organisation.

2. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to discriminate against candidates on the basis of protected characteristics.
• Upload or distribute malware, spam, or any content that violates applicable laws.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Resell or sublicense access to the Service without our prior written consent.
• Use the Service to store or process data in violation of applicable privacy laws (PIPEDA, GDPR, etc.).

We reserve the right to suspend or terminate accounts that violate these provisions.

3. Subscription and Billing

The Service is offered on a subscription basis. Subscriptions are billed in advance on a monthly or annual basis as selected during checkout. All payments are processed by Stripe; by subscribing you agree to Stripe's terms of service.

You may cancel your subscription at any time via the billing portal. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods.

We reserve the right to modify subscription pricing with at least 30 days' notice. Continued use of the Service after the effective date constitutes acceptance of the new pricing.

AI operations ("AI ops") are included with each plan as described in our pricing page. Unused AI ops do not roll over between billing periods.

4. Data Ownership

Your data is yours. You retain full ownership of all data you upload to or create within the Service, including candidate profiles, job postings, pipeline data, documents, and notes ("Customer Data").

By using the Service, you grant Placemynt a limited, non-exclusive licence to host, process, and transmit your Customer Data solely to provide and improve the Service.

We will not access your Customer Data except as necessary to provide support, maintain the Service, or as required by law.

Upon account deletion or termination, you may request a data export. We will retain Customer Data for up to 30 days after termination before permanent deletion.

5. Intellectual Property

The Service, including its design, software, trademarks, and content (excluding Customer Data), is owned by Placemynt Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use Placemynt's intellectual property except as expressly set out herein.

6. Warranties and Disclaimer

The Service is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, Placemynt disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Placemynt's total liability to you for any claims arising under or related to these Terms shall not exceed the amount you paid to Placemynt in the three months preceding the claim.

In no event shall Placemynt be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages.

8. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Ontario for any disputes arising out of these Terms.

9. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting a notice in the Service. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
